Terms of Use and Conditions for the Khabtah Platform

This agreement constitutes the legal framework governing the relationship between the Khabtah platform and the merchant, and sets out the terms and conditions for accessing the platform, using its services, and creating and managing online stores.

Please read this agreement carefully before registering, creating an account or store, or subscribing to any of Khabtah's services. Creating an account, activating a store, using the platform, or using any of its services constitutes the merchant's explicit and final electronic acceptance of all provisions of this agreement, the Privacy Policy, and any additional policies or terms adopted by Khabtah.

If the merchant does not agree to any provision of this agreement, they must not register, must not use the platform, or must stop using it.

Definitions

For the purposes of this agreement, the following words and expressions shall have the meanings set out beside each of them:

  • "Khabtah" or "the Platform": The company or entity operating the Khabtah platform, and all of its systems, software, services, interfaces, technologies, tools, websites, and affiliated or related applications.
  • "Merchant": Any natural or legal person who creates an account or store or uses any of Khabtah's services for commercial or professional purposes.
  • "Store": The electronic space created by the merchant using Khabtah's services to display, manage, market, and sell their products or services.
  • "Customer": Any person who browses the merchant's store, communicates with them, purchases from them, or deals with them in any manner.
  • "Services": All tools, features, software, and free and paid services currently provided by Khabtah or that may be provided in the future.
  • "Content": All texts, images, videos, logos, data, files, products, prices, descriptions, marketing materials, and any other information added by the merchant to the platform.

Acceptance of the Agreement

Creating an account or store or using any of Khabtah's services constitutes binding electronic acceptance of this agreement. No separate written signature is required for this acceptance to be valid, to the extent permitted by law.

All electronic actions taken by the merchant through their account, including clicking registration, acceptance, subscription, or activation buttons, shall serve as evidence of their acceptance of the terms and conditions in effect at the time the action is performed.

The merchant acknowledges that they are responsible for reading the agreement and reviewing any updates made to it.

Eligibility and Accuracy of Information

The merchant acknowledges that they have the legal capacity necessary to enter into this agreement, and that all information and data they provide to Khabtah is correct, accurate, complete, and not misleading.

The merchant alone bears responsibility for any consequences, damages, or claims arising from providing incorrect, incomplete, or misleading data.

Khabtah may request additional documents or information to verify the merchant's identity, activity, ownership, or lawful use of the platform.

Khabtah may refuse to create, activate, or continue an account if the required information or documents are not provided, without giving rise to any obligation to compensate, to the extent permitted by law.

Nature of the Khabtah Platform

Khabtah is a technology platform that provides the infrastructure and tools necessary to create and operate online stores.

Khabtah is not a party to any sale or purchase transaction conducted through the merchant's store, and is not the owner, seller, manufacturer, distributor, or supplier of the products or services displayed by the merchant.

Khabtah does not bear responsibility for:

All of these responsibilities rest solely with the merchant.

  • The quality of products or services.
  • Products' conformity to specifications.
  • The accuracy, correctness, or completeness of product information.
  • Prices, discounts, or promotions set by the merchant.
  • Product availability.
  • Order fulfillment.
  • Shipping and delivery operations.
  • Warranties, exchanges, or returns.
  • Customer service.
  • Any dispute between the merchant and a customer.

Khabtah's Right to Accept or Reject Stores

Khabtah reserves the right to accept, reject, suspend, or discontinue any account or store, in whole or in part, whenever it reasonably determines that the account or store may pose a risk to the platform, its users, its reputation, its security, or its legal or operational compliance.

Khabtah is not obligated to provide detailed reasons in all cases of rejection or suspension, especially when disclosure of the reason may harm platform security, investigations, or third-party rights, to the extent permitted by law.

Merchant Account and Security

The merchant is fully responsible for their account and for all activities and transactions conducted through it.

The merchant must maintain the confidentiality of login credentials and must not share them with any unauthorized party.

Khabtah may take necessary security measures, including suspending the account, requesting a change of login credentials, or restricting access, if there are reasonable grounds to believe there has been a breach, unauthorized use, or security risk.

Khabtah is not responsible for damages resulting from the merchant's negligence in protecting their account, sharing login credentials, or using insecure devices or networks, to the extent permitted by law.

Merchant Responsibility for Their Store

The merchant alone bears full legal and commercial responsibility for their store and for all products, services, content, data, prices, and promotions published through it.

The merchant must ensure that their store's activity, products, and services comply with all applicable laws, regulations, licenses, and permits.

The provision by Khabtah of any tool, feature, template, or technical means shall not be interpreted as confirmation by Khabtah of the lawfulness of the activity, product, or service used by the merchant.

Merchant Obligations

The merchant shall, without limitation, comply with the following:

  • Compliance with all applicable laws, regulations, and instructions.
  • Obtaining all necessary licenses and approvals.
  • Providing accurate and non-misleading information.
  • Compliance with consumer rights.
  • Respect for intellectual property rights.
  • Compliance with relevant e-commerce, advertising, and consumer protection regulations.
  • Not using the platform for any unlawful activity.
  • Not selling or promoting prohibited products or services.
  • Bearing all tax and financial obligations related to their activity, where applicable.
  • Bearing shipping, delivery, return, exchange, and other commercial costs related to their activity.
  • Handling customer complaints and claims relating to their products and services.
  • Safeguarding customer data and taking appropriate measures to protect it.
  • Not using the platform in a manner that affects its performance or security.

Prohibited Products and Activities

It is prohibited to use Khabtah to display, sell, or promote any product, service, or activity that is prohibited by law, violates regulations, or poses a risk to users or the platform's reputation.

Khabtah may, without bearing any liability toward the merchant, remove content or products or disable the store or account when there are reasonable grounds to suspect a violation.

Khabtah reserves the right to update the list of prohibited products or activities in accordance with legal developments, operational risks, or platform policies.

Khabtah's Content Rights

The merchant grants Khabtah the right to review content published through the platform and to take appropriate action against any content that Khabtah reasonably considers to violate this agreement or the law or to expose the platform to risk.

Khabtah may remove, hide, or disable access to any violating content without this constituting an obligation to monitor or pre-review all store content.

Khabtah is not responsible for any content published by the merchant or by any party using their account.

Plans, Pricing, and Fees

Khabtah may offer a free plan and paid plans, with each plan having its own features, limits, prices, and terms.

Khabtah reserves the right to:

Future changes shall apply in accordance with what is announced or communicated to the merchant, depending on the nature of the change and applicable law.

The merchant is not entitled to claim any compensation as a result of changes to a plan or its features or limits, unless otherwise required by law.

  • Modify plan prices.
  • Add or remove plans.
  • Change plan features.
  • Modify technical or operational limits.
  • Add paid services.
  • Discontinue or replace any plan.

Paid Subscriptions and Non-Payment

If any due fees are not paid, Khabtah may suspend or restrict services associated with the account, including the store, until outstanding amounts are settled.

Khabtah is not responsible for any losses or interruption of sales, orders, or customers resulting from the merchant's failure to pay due fees.

Due fees for services provided constitute a financial obligation independent of the commercial results achieved by the merchant.

Domains

Khabtah may provide the merchant with a subdomain or allow the store to be linked to a custom domain.

Khabtah does not guarantee the continued availability, ownership, or usability of any third-party domain, nor is it responsible for loss of a domain or expiration due to non-renewal or actions by the domain provider.

The merchant remains responsible for all rights and obligations relating to their own domain.

Third-Party Services

Some services may rely on external providers, including payment, hosting, messaging, domain, analytics, and other services.

The merchant acknowledges that some of these services may be outside Khabtah's control, and that their availability, continuity, and terms of use may change without Khabtah being responsible for that.

The merchant bears any fees, terms, or obligations imposed by third parties where they relate to the services used.

Intellectual Property of the Khabtah Platform

All intellectual property rights in the Khabtah platform and its components, software, designs, interfaces, databases, templates, logos, trademarks, and technical content belong to Khabtah or its licensed rights holders.

Use of the platform does not grant the merchant any ownership or permanent license in any of these elements.

The merchant is prohibited from copying, reproducing, modifying, disassembling, reverse engineering, distributing, selling, licensing, or exploiting any part of the platform except with prior written consent from Khabtah or as permitted by law.

Merchant Content Ownership and License

The merchant retains ownership of content they lawfully own.

However, the merchant grants Khabtah a worldwide, non-exclusive license, sublicensable through its contractors and service providers, to use, copy, store, process, and display the content to the extent necessary to operate the platform, provide and develop services, improve them, protect them, and promote Khabtah's services.

The merchant confirms that they have all necessary rights to grant this license.

Khabtah may retain backup or technical copies of merchant content for as long as necessary for operational, security, or legal compliance purposes, even after account suspension or termination, in accordance with law and the Privacy Policy.

Use of Store Data for Operational and Statistical Purposes

Khabtah may use non-personal, aggregated, or anonymized data and information resulting from use of the platform for analysis, statistics, product development, performance and security improvement, and reporting, provided that such data is not used in a manner that reveals the personal identity of the merchant or customers except in accordance with the Privacy Policy and the law.

Privacy and Data Protection

Processing of personal data is subject to Khabtah's adopted Privacy Policy.

The merchant agrees to Khabtah collecting, processing, and using data necessary to provide services, manage accounts, improve the platform, prevent fraud, protect security, and comply with legal obligations.

The merchant is responsible for obtaining any consents or taking any legal measures necessary to process their customers' data through their store, where required by law.

Backup and Data Loss

Khabtah makes reasonable efforts to maintain data integrity and service continuity; however, the merchant acknowledges that electronic systems may experience failures, loss, or corruption of data for various reasons.

Khabtah does not guarantee absolute prevention of store data loss.

The merchant is responsible for keeping copies of their important information, files, and data where the nature of the service allows them to do so.

Platform Availability and Updates

Services are provided on an availability basis, and the platform may experience temporary downtime due to maintenance, updates, failures, cyberattacks, service provider issues, or causes beyond Khabtah's control.

Khabtah does not guarantee 100% platform availability or that it will be free from errors or interruptions.

Khabtah may develop, modify, add, or remove any feature or service, in whole or in part, whenever it considers this necessary or appropriate to develop, secure, or operate the platform.

This does not give the merchant any automatic right to compensation, unless otherwise provided by law.

Force Majeure

Khabtah is not responsible for any delay, interruption, or inability to perform its obligations resulting from circumstances beyond its reasonable control, including natural disasters, wars, disturbances, communication or power outages, large-scale cyberattacks, government decisions, sanctions, failures by service providers, or any other similar events.

Account or Store Suspension

Khabtah may suspend, restrict, or discontinue an account or store, temporarily or permanently, in the event of:

Khabtah may take action immediately and without prior notice when necessary to protect the platform, users, third parties, or legal compliance.

  • Violation of this agreement.
  • Violation of the law.
  • Reasonable suspicion of fraud.
  • Misuse of the platform.
  • Endangering the security of the platform or its users.
  • Infringement of third-party rights.
  • Non-payment of fees.
  • Provision of incorrect information.
  • Use of the store in an activity that may harm Khabtah's reputation or legitimate interests.
  • Request by a competent authority or existence of a legal obligation requiring action.

Account Termination

The merchant may request termination of their account in accordance with approved procedures.

Khabtah may also terminate the account or agreement in accordance with this agreement and the law.

Termination of the account does not release the merchant from any amounts, obligations, or liabilities arising before the termination date.

No Guarantee of Commercial Results

The merchant acknowledges that Khabtah does not guarantee achievement of any particular level of sales, profits, visits, customers, orders, conversions, or any commercial results.

Any information, guidance, or marketing tools provided by Khabtah does not constitute a guarantee of achieving a specific commercial result.

Limitations of Khabtah's Liability

To the maximum extent permitted by law, Khabtah is not liable for any indirect, incidental, or consequential losses, or loss of profits, revenue, customers, data, or business opportunities arising from use of the platform or inability to use it.

Khabtah is not liable for damages arising from:

Nothing in this agreement shall be interpreted as excluding liability that may not be excluded by law.

  • Actions of the merchant or customers.
  • Products or services provided by the merchant.
  • Content published by the merchant.
  • Third-party services.
  • Internet or power outages.
  • Failures beyond Khabtah's reasonable control.
  • Breach of the merchant's account due to their failure to protect their credentials.
  • Business decisions made by the merchant based on use of the platform.

Liability Cap

To the extent permitted by law, Khabtah's total liability for any claim arising from or relating to the services shall not exceed the total fees actually paid by the merchant to Khabtah for the service subject to the claim during the three months immediately preceding the event giving rise to the claim.

This limitation does not apply to liabilities that the law prohibits limiting or excluding.

Indemnification

To the extent permitted by law, the merchant shall indemnify Khabtah and its affiliates, directors, employees, representatives, and service providers against any claims, losses, damages, fines, costs, or expenses, including reasonable attorneys' fees, arising from:

  • The merchant's violation of this agreement.
  • Violation of the law.
  • Infringement of third-party rights.
  • Products or services provided by the merchant.
  • Content published by the merchant.
  • Disputes between the merchant and their customers.
  • Misuse of the platform.
  • Use of the merchant's account by unauthorized persons due to the merchant's negligence.

Changes to the Agreement

Khabtah may amend this agreement, replace any of its provisions, or add new provisions from time to time.

The updated version will be published on the platform with the last updated date specified.

Continued use of the platform by the merchant after the effective date of amendments constitutes acceptance of the amended provisions.

If the merchant objects to the amendments, their option is to stop using the platform and terminate their account in accordance with approved procedures, unless otherwise provided by law.

Notices

Notices sent to the merchant's registered email, phone number, or account, or published within the platform, shall be considered valid means of communication and notification, where permitted by law.

The merchant is responsible for updating their contact details.

Khabtah is not responsible for failure of a notice to arrive due to outdated or incorrect details provided by the merchant.

Governing Law and Jurisdiction

This agreement is governed by and construed in accordance with the laws and regulations in force in the Syrian Arab Republic, unless mandatory applicable law requires otherwise.

The competent Syrian courts shall have jurisdiction over any dispute arising from or relating to this agreement or the services, in accordance with applicable rules of jurisdiction.

Severability

If any provision of this agreement is held invalid or unenforceable, this shall not affect the validity of the remaining provisions.

The unenforceable provision shall, to the extent legally possible, be replaced by a valid provision that achieves the closest possible legal and economic effect to the original provision.

No Waiver

Khabtah's delay in exercising or failure to exercise any right at any time shall not constitute a waiver of that right, and Khabtah may exercise that right at a later time.

Entire Agreement

This agreement, the Privacy Policy, and any service-specific terms constitute the entire agreement between Khabtah and the merchant regarding use of the platform.

In the event of a conflict between this agreement and terms specific to a particular service, the specific terms shall apply to that service to the extent of the conflict, unless otherwise stated.

Governing Language

Arabic is the governing language of this agreement, and the Arabic version shall be the primary reference for interpreting its provisions, unless law or a written agreement requires otherwise.

Contacting Khabtah

The merchant may contact Khabtah through the official communication channels published and approved on the platform.

The merchant acknowledges that using, registering on, or creating a store through the platform constitutes their electronic acceptance of this agreement, the Privacy Policy, and all terms and policies related to the services.

By continuing to use the Khabtah platform, the merchant acknowledges that they have read, understood, accepted, and agreed to comply with this agreement.
